OVERVIEW

Welcome to Haruhana. The terms "we," "us," and "our" refer to Haruhana. Haruhana operates this website and online store, including the information, content, features, tools, products, and services offered through it (collectively, the "Services"). Our store is powered by Shopify, which enables us to provide the Services.

These Terms of Service ("Terms") describe your rights and responsibilities when you access or use the Services. By visiting, interacting with, or purchasing through the Services, you agree to these Terms and our Privacy Policy:

If you do not agree to these Terms or our Privacy Policy, do not access or use the Services.

SECTION 1 - ELIGIBILITY, ACCESS, AND ACCOUNTS

By using the Services, you represent that you are at least the age of majority in your state or jurisdiction of residence, or that you have consent from a parent or legal guardian where required.

You agree to provide accurate, current, and complete information when using the Services or placing an order. You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account. You may not transfer, sell, assign, or license your account to another person.

SECTION 2 - LIVE PLANTS AND PRODUCT INFORMATION

We make reasonable efforts to describe and photograph our plants accurately. However, plants are living organisms, and natural variations in size, shape, color, frond development, rooting, and overall appearance will occur. A plant may also continue to grow or change between the date it is photographed and the date it is shipped.

Unless a listing specifically states that the pictured plant is the exact plant offered for sale, product photographs may show a representative plant, parent plant, mature specimen, or example of the variety. A young plant is not guaranteed to mature into the exact appearance shown in reference photographs.

Colors and product appearance may also vary depending on your screen, device, lighting, and display settings.

Product descriptions, prices, and availability may be changed at any time without notice. We may discontinue products or limit quantities offered to any person, household, geographic area, or jurisdiction.

SECTION 3 - PLANT CARE AND CONDITION AFTER DELIVERY

Plant health after delivery depends on many conditions outside our control, including temperature, light, humidity, airflow, watering, pests, fertilizer, handling, and the customer's growing environment.

Care information provided through our website, emails, social media, videos, or other channels is general educational guidance. Customers are responsible for evaluating and adjusting care to their particular plant and environment.

We do not guarantee continued plant survival, growth rate, mature appearance, or freedom from future pests or disease after delivery. Greenhouse-grown plants may occasionally contain small insects or naturally occurring organic material.

SECTION 4 - ORDERS AND ACCEPTANCE

Submitting an order is an offer to purchase. An order is not accepted until payment has been processed and we confirm acceptance. We reserve the right to accept, decline, limit, or cancel an order at our discretion, including because of inventory errors, pricing errors, suspected fraud, shipping restrictions, or product availability.

If we decline, change, or cancel an order, we will attempt to contact you using the email address, billing address, shipping address, or phone number provided with the order. If we cancel an order after payment has been collected, we will refund the canceled amount to the original payment method.

Please review your order carefully before submitting it. Because live plants may be prepared and packed promptly, we may be unable to accommodate cancellation or change requests after an order is accepted.

SECTION 5 - PRICES, BILLING, AND PROMOTIONS

Prices, discounts, shipping offers, and promotions are subject to change without notice. The price charged will be the price shown when the order is placed, as reflected in the order confirmation, except where correction of an obvious error is permitted by law.

Unless expressly stated otherwise, displayed prices do not include applicable taxes, shipping, handling, customs, or import charges.

You agree to provide current, complete, and accurate billing and payment information. You represent that you are authorized to use the payment method submitted and agree to pay all charges associated with your order.

Promotions may be governed by additional terms. If promotional terms conflict with these Terms, the specific promotional terms will control for that promotion.

SECTION 6 - SHIPPING AND DELIVERY

All orders are subject to our Shipping Policy, which is incorporated into these Terms:

Processing and delivery dates are estimates and are not guaranteed. Carrier delays, weather, natural events, service interruptions, and other circumstances outside our control may affect delivery.

We currently ship only within the continental United States. We do not ship to Alaska, Hawaii, U.S. territories, or offshore islands. Orders submitted with an unsupported shipping address may be canceled and refunded.

Customers are responsible for providing a complete and accurate shipping address and for monitoring tracking information. We are not responsible for delays, losses, or returned packages caused by an incorrect or incomplete address supplied by the customer.

Customers may request a shipping hold by contacting info@haruhana-usa.com before the order ships. Once a package is in transit, we cannot place it on hold.

Live plants are sensitive to heat and cold. Customers are responsible for considering local and destination weather and selecting an appropriate shipping method. We strongly recommend expedited shipping during periods of extreme heat or cold. Heat packs or insulation may be included at our discretion, but they do not guarantee protection from extreme temperatures or prolonged carrier delays.

Once an order is transferred to the carrier, delivery is handled by that carrier. However, we may assist with eligible claims for loss, damage, or severe delay as described in our Shipping Policy. Any refund connected to a carrier claim will be issued only after the claim is approved. In some cases, a replacement may be offered and may require return of the original plant.

If this section conflicts with the current Shipping Policy, the Shipping Policy will control.

SECTION 7 - FINAL SALES, DAMAGE, AND REFUNDS

Due to the delicate and perishable nature of live plants, all live-plant sales are final. We do not accept returns or exchanges for change of mind, buyer's remorse, natural variation, or conditions that develop after the plant is under the customer's care.

If an order arrives damaged or appears to have been seriously affected by shipping, contact us at info@haruhana-usa.com within 48 hours of delivery. Include the order number and clear photographs of:

- The complete plant
- The affected or damaged areas
- The interior packaging
- The exterior packaging and shipping label

This documentation is required so we can evaluate the issue and, when applicable, support a carrier claim. Reported issues are reviewed individually and handled according to the circumstances and our current policies. No particular resolution is guaranteed before review.

If this section conflicts with the current Refund Policy, the Refund Policy will control.

SECTION 8 - RESALE, EXPORT, AND PROHIBITED COMMERCIAL USE

Unless we agree otherwise in writing, products purchased through the Services are intended for the purchaser's personal or household use. You may not purchase products for unauthorized commercial resale or export, or commercially exploit Haruhana's photographs, descriptions, branding, or other intellectual property.

SECTION 9 - INTELLECTUAL PROPERTY

The Services and their content, including the Haruhana name and branding, text, product descriptions, photographs, graphics, videos, audio, designs, logos, and arrangement of content, are owned by or licensed to Haruhana and are protected by applicable intellectual property laws.

You may use the Services only for lawful, personal, and non-commercial purposes. Without our prior written permission, you may not reproduce, distribute, modify, publish, publicly display, publicly perform, republish, download, store, sell, license, or transmit material from the Services, except for temporary technical copies made by your browser in the ordinary course of accessing the website.

Nothing in these Terms grants you a license or other right to use any trademark, copyright, photograph, product description, or other intellectual property belonging to Haruhana, Shopify, or a third party.

SECTION 10 - FEEDBACK AND CUSTOMER CONTENT

If you voluntarily submit reviews, photographs, videos, comments, suggestions, ideas, or other content ("Feedback"), you represent that you own or have permission to submit it and that it does not violate another person's rights or applicable law.

You grant Haruhana a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, publish, distribute, and display that Feedback for operating, improving, and promoting the Services. Where reasonably practicable, we will respect requests concerning the public use of customer-identifying information.

We are not obligated to keep Feedback confidential, pay compensation for it, publish it, or respond to it. We may remove Feedback that we reasonably believe is unlawful, misleading, abusive, infringing, obscene, or otherwise inappropriate.

SECTION 11 - OPTIONAL TOOLS AND THIRD-PARTY SERVICES

The Services may provide access to tools, applications, payment services, links, or content operated by third parties. We do not control and are not responsible for third-party services, websites, content, policies, security, or availability.

Third-party tools are provided "as is" and "as available" without endorsement or warranty by Haruhana. Your use of a third-party service is at your own risk and may be governed by that third party's terms and privacy policy.

SECTION 12 - RELATIONSHIP WITH SHOPIFY

Haruhana's store is powered by Shopify. Purchases made through the store are transactions directly between you and Haruhana. Shopify is not the seller of our products and is not responsible for the plants, fulfillment, customer service, or other aspects of a transaction between you and Haruhana.

SECTION 13 - PRIVACY

Personal information collected through the Services is handled according to our Privacy Policy:

Because the Services are hosted by Shopify and may use third-party providers, information may be processed by Shopify and other service providers, including providers located outside your state or country of residence.

SECTION 14 - ERRORS, INACCURACIES, AND OMISSIONS

The Services may occasionally contain typographical errors, inaccuracies, or omissions relating to product descriptions, plant names, photographs, parentage, prices, promotions, shipping charges, transit times, or availability.

We reserve the right to correct errors, update information, limit quantities, or cancel an affected order at any time, including after an order has been submitted. If we cancel a paid order because of an error, we will refund the canceled amount to the original payment method.

SECTION 15 - PROHIBITED USES

You may not use the Services:

- For an unlawful, fraudulent, or malicious purpose
- To violate applicable laws, regulations, or the rights of others
- To infringe intellectual property, privacy, publicity, or other rights
- To harass, threaten, abuse, defame, impersonate, or harm another person
- To submit false, deceptive, or misleading information
- To transmit malware, malicious code, or harmful material
- To send spam, phishing messages, or unauthorized solicitations
- To collect or track personal information without authorization
- To scrape, crawl, copy, or systematically extract content except as permitted by law
- To interfere with the operation or security of the Services
- To bypass access controls or other security measures
- To reproduce, resell, or commercially exploit the Services without permission

If we reasonably believe these Terms have been violated, we may refuse or cancel orders, suspend or close customer accounts, restrict access to interactive features, or take reasonable technical measures to prevent misuse of the Services.

SECTION 16 - DISCLAIMER OF WARRANTIES

To the fullest extent permitted by law, the Services and products offered through them are provided "as is" and "as available," except for any express commitments stated in our current Shipping Policy or Refund Policy.

We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that information on the Services will always be complete, current, or accurate.

We disclaim implied warranties to the fullest extent permitted by applicable law, including implied warranties of merchantability, fitness for a particular purpose, durability, title, and non-infringement. Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.

Nothing in these Terms excludes rights or remedies that cannot legally be excluded.

SECTION 17 - LIMITATION OF LIABILITY

To the fullest extent permitted by law, Haruhana and its owners, officers, employees, affiliates, agents, contractors, service providers, and licensors will not be liable for indirect, incidental, special, punitive, exemplary, or consequential damages, including lost profits, lost revenue, lost savings, lost data, or replacement costs, arising from or related to your use of the Services or products purchased through them.

To the fullest extent permitted by law, Haruhana's total liability for a claim relating to a product or order will not exceed the amount you paid Haruhana for the product or order giving rise to the claim.

These limitations do not apply to liability that cannot legally be limited or excluded.

SECTION 18 - INDEMNIFICATION

To the fullest extent permitted by law, you agree to indemnify and hold harmless Haruhana, Shopify, and their respective affiliates, owners, officers, employees, agents, contractors, licensors, and service providers from third-party claims, losses, damages, liabilities, and reasonable legal fees arising from your material breach of these Terms, your unlawful use of the Services, or your violation of another person's rights.

SECTION 19 - ENFORCEMENT AND ACCOUNT CLOSURE

If you materially violate these Terms, misuse the Services, engage in fraud, or threaten the security or operation of the Services, we may refuse or cancel orders, suspend or close your customer account, restrict your use of interactive features, or take reasonable technical measures to prevent misuse. Because much of our website is publicly available, these measures may not prevent access to all public pages.

Account closure, order cancellation, or other enforcement action does not affect obligations or liabilities incurred beforehand. Provisions that by their nature should remain effective will continue to apply, including provisions concerning intellectual property, feedback, disclaimers, limitations of liability, indemnification, and governing law.

SECTION 20 - SEVERABILITY

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be enforced to the maximum extent permitted by law and severed to the minimum extent necessary. The remaining provisions will continue in effect.

SECTION 21 - WAIVER AND ENTIRE AGREEMENT

Our failure to enforce a provision of these Terms is not a waiver of that provision or any other right.

These Terms, together with policies and notices incorporated by reference, constitute the entire agreement between you and Haruhana concerning the Services and supersede prior or contemporaneous communications concerning the same subject.

SECTION 22 - ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations in connection with a merger, acquisition, reorganization, sale of assets, change in control, or transfer of the Services, or as otherwise permitted by law.

SECTION 23 - GOVERNING LAW

These Terms and any separate agreements through which we provide Services will be governed by the laws of the State of Washington, without regard to conflict-of-law principles, except where applicable consumer-protection law requires otherwise.

SECTION 24 - CHANGES TO THESE TERMS

We may update these Terms by posting a revised version on this page. The "Last updated" date will indicate when the latest changes took effect.

Where required by law, we will provide additional notice of material changes. Continued use of the Services after revised Terms take effect constitutes acceptance of those revised Terms.
